Terms of Service

The agreement between you and us about using Soulmate AI.

1. This agreement

These Terms are a contract between you and AdMetric OÜ, a private limited company registered in Estonia, registry code registry code 17314613, registered address Ruunaoja tn 3, 11415 Tallinn, Estonia ("AdMetric", "we", "us"). By creating an account or using Soulmate AI (the "app" or the "service"), you accept them. If you do not accept them, please do not use the app.

How we handle your data is described in our Privacy Policy. How we handle messages that suggest someone may be at risk is described in our Safety & Crisis Protocol. Both form part of this agreement.

2. You must be 18 or over

Soulmate AI is an adult companionship experience and is not available to anyone under 18. When you start, we ask for your date of birth and check it on your device; if you are under 18 the app stops there. We rely on what you tell us. If we learn that you are under 18, or that you entered a false date of birth, we will close your account.

3. What Soulmate AI is — and is not

Soulmate AI is designed to be warm and to remember you, and that can feel meaningful. We say this plainly because we would rather you know it: the relationship is one-directional by nature. Please look after your wellbeing and keep the human relationships in your life.

4. Your account

You may sign in with your email — we send a one-time code, there is no password — or continue as a guest. Keep access to your email secure: anyone who can read it can sign in as you. You are responsible for what happens on your account, and you may not share, sell or transfer it.

Guest accounts are tied to the app installation on your device. If you uninstall the app or sign out, we have no way to find that account again and its data becomes unreachable to you. To keep a companion, its memories and any purchases across devices, sign in with an email.

You may delete your account at any time in Settings › Your data › Delete my account. Deletion is immediate and permanent — see Delete your account.

5. How you may use it

Please do not:

• Use the app if you are under 18, or help anyone under 18 use it.
• Try to make your companion produce sexual content involving minors, or any other content that is illegal. This is the one rule we will never treat as a gray area.
• Use the app to harass, threaten or defame anyone, or to plan or carry out anything illegal.
• Impersonate a real person, or try to make your companion impersonate one.
• Attempt to extract, reverse-engineer, scrape or automate the service, probe its security, or bypass its limits and safeguards (including the daily message limit and the content filters).
• Manipulate the coin economy — for example by farming referrals or rewarded ads with fake accounts or modified clients.
• Use the service, or anything it produces, to develop a competing AI product.

6. Content and moderation

Soulmate AI is romantic, but not sexually explicit. Your companion can be affectionate, flirty and suggestive. It will not produce graphic sexual content; if you ask for it, it will steer the conversation elsewhere rather than refuse coldly.

Messages are checked automatically in both directions — what you send and what the companion replies. A reply that crosses the line is not shown to you. This checking is automated and imperfect: it will sometimes block something harmless and sometimes miss something it should have caught. We keep improving it, and we do not promise it is complete.

You can report any message from your companion with the report option in the chat. We review reports, and doing so lets a member of our team read the reported message and the messages immediately around it, as described in the Privacy Policy.

7. If you are in crisis

If a message suggests you may be thinking about harming yourself, your companion will not reply. Instead the app shows you a message from Soulmate AI with crisis resources. This is automated: no human is alerted, and we do not contact anyone on your behalf.

Soulmate AI is not a crisis line and cannot help in an emergency. In the United States, the 988 Suicide & Crisis Lifeline is free and confidential, 24 hours a day — call or text 988 — and you can text HOME to 741741 to reach Crisis Text Line. In immediate danger, call 911. Wherever you are, findahelpline.com lists helplines by country. Our full protocol is at /safety.

8. Free use and limits

Soulmate AI is free to download and to use within limits. Today a free account can send 30 messages per day and chat with the one companion it has adopted. You can earn coins (§10) and spend them to unlock a few more messages on a given day, up to a small daily cap.

Premium raises the limit to 500 messages per day and unlocks every companion. Premium is not unlimited — the ceiling exists to prevent abuse. Some features (companion photos and voice notes, companion messages when you have been away) also carry their own daily caps and may be switched on or off over time.

The daily count resets at midnight UTC, not at your local midnight. These numbers are current values, not promises: we may change them as the service evolves. We will not reduce what a paid period already includes without telling you first.

9. Premium subscription — automatic renewal

Premium is sold as an auto-renewing subscription through Apple's App Store or Google Play. We never process your payment and never see your card details. If we also offer a one-time "lifetime" purchase, it does not renew and the renewal rules below do not apply to it.

• Price and period. The price, the billing period (for example weekly, monthly or yearly) and any introductory offer are shown by the store before you confirm the purchase. If we offer a free trial or introductory price, its length and the price that follows are shown there too, and the trial converts to a paid subscription unless you cancel before it ends.
• It renews automatically. Your store account is charged at the start of each period, at the price shown, until you cancel. Cancelling at least 24 hours before the end of the current period prevents the next charge.
• How to cancel. Through your Apple ID or Google Play subscription settings — not through us, and not by deleting the app or your account. Deleting your Soulmate AI account does not cancel your subscription. Cancelling stops the next renewal; you keep Premium until the end of the period you paid for.
• Refunds are handled by Apple and Google under their policies. We cannot issue them, and there is no pro-rata refund for an unused part of a period unless the store grants one or the law where you live requires it.
• Price changes. If the price of your subscription changes, the store will tell you in advance and, where required, ask for your agreement before the new price applies.
• Restore. If you reinstall or switch devices, use Settings › Restore purchases with the same store account.

Premium gives you the features described in the app at the time of purchase — today, a higher daily message limit and access to every companion. It does not include coins, gifts or photo unlocks, which are separate (§10).

10. Coins, gifts, unlocks and rewarded ads

• Coins are a virtual item with no monetary value. They cannot be exchanged for money, transferred to another person or account, or used outside the app. They are a limited license to use in-app features, not property.
• You can earn coins — for example by checking in daily, by choosing to watch a rewarded ad when one is offered, or through the invite program when it is active. Coin packs are shown in the app but cannot be bought yet; when they go on sale, they will be sold through the App Store or Google Play at the price the store shows.
• Coins are spent on virtual gifts for your companion, on unlocking certain companion photos and, on a given day, on a few extra messages. Prices in coins, the catalog and the caps are shown in the app and may change.
• Coins, gifts and unlocks are not refundable, except where the store grants a refund or the law requires it. Earned coins are never refundable.
• If you delete your account, all coins — earned and purchased — are destroyed with it, and we cannot restore or refund them. Spend them first if that matters to you.
• Rewarded ads are optional and are shown only if you opted in to advertising in the app. We may limit how many you can watch per day.
• We may change, suspend or end the coin economy or any part of it. If we end it entirely we will give you reasonable notice to use purchased coins.

11. Who owns what

What you write is yours. You keep your messages. You give us permission to store them, to send them to our AI provider and to process them only as needed to operate, secure and improve the service, as described in the Privacy Policy. We do not claim ownership and we do not use your conversations for advertising.

The companions, their names, personas, images and voices, the app, its name and its design are ours or our licensors', and are protected by copyright and other laws. You may not copy, redistribute or commercially exploit them.

Your companion's replies are generated by a machine. You may keep and use them for your personal, non-commercial purposes. We make no claim of ownership over them and no promise that they are original or free of third-party rights.

If you send us feedback or suggestions, we may use them without any obligation to you.

12. Availability and changes

We try to keep Soulmate AI running, but we do not promise that it will be available without interruption, that your companion will always reply, or that replies will be of any given quality. We depend on providers we do not control. We may change, add, suspend or remove features. If we discontinue the service entirely, we will give you reasonable notice and a chance to export or delete your data.

13. Ending this agreement

You can stop at any time by deleting your account.

We may suspend or close an account that breaks these Terms — in particular §5 — that we reasonably believe belongs to someone under 18, or where the law requires it. Where it is reasonable and lawful to do so, we will tell you why and give you a way to respond. If we close your account for a breach, you are not entitled to a refund of any subscription or coins; if we close it for another reason, we will help you seek a refund from the store for any unused paid period.

14. Disclaimers

Soulmate AI is provided "as is" and "as available". To the extent the law allows, we make no warranties — express or implied — about the service, including that it will be accurate, reliable, uninterrupted, error-free or fit for a particular purpose. Nothing your companion says is advice from us. We are not responsible for content or services provided by third parties, including the app stores and any advertiser.

15. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the service. To the same extent, our total liability to you for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim and the greater of the amount you paid us in the 12 months before the claim or USD 100.

Nothing in these Terms limits liability that cannot be limited by law — including for death or personal injury caused by our negligence, for fraud or willful misconduct, or under consumer-protection rules that apply where you live.

16. Your responsibility

You are responsible for your use of the service. If your breach of §5 causes a third party to bring a claim against us, you agree to cover the losses and reasonable costs that result, to the extent the law allows.

17. App store terms

You also agree to the terms of the store you downloaded the app from. If you use the iOS app: these Terms are between you and AdMetric, not Apple; Apple has no obligation to provide maintenance or support for the app; Apple is not responsible for any product-warranty, intellectual-property or other claim relating to the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18. Governing law and disputes

These Terms are governed by the laws of Estonia Estonian law, without prejudice to the mandatory consumer-protection rules of the place where you live. This choice does not take away the protection of mandatory consumer laws of the country or state where you live, and you may bring a claim in your local courts where those laws give you that right. We would much rather fix a problem than argue about it: write to us first at contact@admetric.app.

19. Changes to these Terms

We may update these Terms. If a change is material, we will tell you in the app before it takes effect, and continuing to use Soulmate AI after that means you accept the new version. If you do not, you can stop using the app and delete your account.

20. General

If part of these Terms is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement; we may assign it to a successor that takes over the service, and we will tell you if we do. These Terms, the Privacy Policy and the Safety & Crisis Protocol are the whole agreement between you and us about the service.
